Terms and Conditions

1. Agreement to Terms

By accessing or using Groful ("the Service", "we", "us", or "our") at groful.co, you ("Customer", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, do not use the Service.

2. Description of Service

Groful is a SaaS growth intelligence platform that helps SaaS businesses grow by leveraging their existing user base. The Service provides:

• User and company enrichment — automatically enriching user profiles with company information, LinkedIn data, job titles, brand assets, and other attributes upon signup.

• Teammate discovery — identifying and surfacing the direct colleagues and teammates of each user within their organisation.

• ICP scoring — scoring users, teammates, and companies against a Customer's defined Ideal Customer Profile (ICP).

• Lookalike discovery — identifying companies and individuals similar to a Customer's highest-scoring users for outbound prospecting.

• Onboarding prefill — automatically prefilling signup and onboarding forms with enriched user data.

• Automatic theming — adapting dashboard experiences to match each user's brand identity.

• REST API, Webhooks, and CSV export — integration and data access tooling (availability subject to plan).

3. Account Registration and Eligibility

You must register for an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You must be at least 18 years of age and capable of forming a legally binding contract to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

4. Beta Services

Groful is currently in Beta. Beta features are provided "as is" and may be modified, suspended, or discontinued at any time without notice. We make no guarantees regarding the performance, availability, or accuracy of Beta features.

5. Subscription Plans and Billing

Groful offers the following subscription tiers, billed on a monthly basis:

• Starter — $29/month (50 team enrichments/mo, 50 user enrichment credits/mo)

• Growth — $99/month (200 team enrichments/mo, 200 user enrichment credits/mo)

• Scale — $299/month (800 team enrichments/mo, 800 user enrichment credits/mo) All plans include user and company enrichment, teammate discovery, ICP scoring, brand information and logos, a dashboard, and REST API access. Higher tiers include additional features such as webhooks, CSV export, priority enrichment queues, custom enrichment attributes, advanced analytics, and priority support. Credits. Each user enrichment consumes one (1) credit. Team enrichment discovers and enriches all teammates at a company. Unused credits do not roll over to the following month unless otherwise stated in writing. Billing. All plans are billed monthly. By providing a payment method, you authorise Groful to charge the applicable subscription fee on a recurring monthly basis until cancelled. All fees are stated in USD and are exclusive of applicable taxes. Free Trial. Groful may offer a free trial period. No credit card is required to sign up unless otherwise specified. At the end of any free trial, your access may be converted to a paid plan or discontinued, subject to any notice provided at signup. Cancellation. You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months except where required by applicable law. Price Changes. We reserve the right to change our pricing with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Use the Service to collect, process, or distribute data in violation of any applicable privacy or data protection laws, including the GDPR, CCPA, or equivalent legislation.

• Use enriched data to engage in spam, unsolicited communications, harassment, or any abusive outreach.

• Attempt to reverse engineer, decompile, or extract the underlying algorithms, models, or data sources used by the Service.

• Resell, sublicense, or otherwise commercialise the Service or enriched data to third parties without our prior written consent.

• Use the Service to build a competing product or service.

• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.

• Circumvent any usage limits, rate limits, or access controls imposed by the Service.

7. Integrations and Third-Party Services

The Service integrates with third-party authentication providers including Clerk, Supabase Auth, and BetterAuth. Your use of these integrations is subject to the respective third parties' terms of service and privacy policies. Groful is not responsible for the practices or content of third-party services. By connecting a third-party service to Groful, you represent that you have the right to do so and that such connection complies with those third parties' terms.

8. Data, Privacy, and User Information

Customer Data. "Customer Data" means any data your end users provide or that is submitted to the Service via your integration. You retain all ownership of Customer Data. You grant Groful a limited licence to process Customer Data solely to provide and improve the Service. Enrichment Data. The Service enriches Customer Data using publicly available sources and third-party data providers. You are solely responsible for ensuring that your use of enriched data complies with all applicable laws, including privacy regulations governing the processing of third-party personal data. End User Privacy. If you deploy Groful to enrich data about your own end users, you are responsible for providing those end users with appropriate notice and, where required, obtaining their consent for such enrichment activities. Data Retention. We retain Customer Data for as long as your account is active or as needed to provide the Service. You may request deletion of your data by contacting us, subject to any legal retention obligations. Full details on how we collect, use, and protect data are set out in our Privacy Policy, available at groful.co/privacy-policy, which is incorporated into these Terms by reference.

9. Intellectual Property

All rights, title, and interest in and to the Service, including its software, algorithms, design, and branding, are owned by Groful or its licensors. These Terms do not grant you any intellectual property rights in the Service. The Groful name, logo, and related marks are trademarks of Groful. You may not use our trademarks without our prior written consent.

10. API Usage

Access to the Groful REST API is subject to these Terms and any additional API documentation we publish. You must not exceed the rate limits applicable to your plan. Automated or programmatic access must comply with all usage restrictions. We reserve the right to suspend API access for misuse or excessive usage.

11. Confidentiality

Each party agrees to keep the other party's non-public business information confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms for a period of three (3) years.

12. Disclaimers and Limitation of Liability

Disclaimer. The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that enrichment results will be accurate or complete. Limitation of Liability. To the maximum extent permitted by law, Groful's total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the fees paid by you in the three (3) months preceding the claim, or (b) $100 USD. In no event shall Groful be liable for any indirect, incidental, consequential, punitive, or special damages, including lost profits or data loss, even if advised of the possibility of such damages.

13. Indemnification

You agree to indemnify, defend, and hold harmless Groful and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) the data you submit to or process through the Service.

14. Term and Termination

These Terms remain in effect for as long as you use or subscribe to the Service. Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you breach these Terms, engage in fraudulent activity, or fail to pay applicable fees. Upon termination, your right to use the Service ceases and we may delete your Customer Data after a reasonable grace period.

15. Modifications to the Service and Terms

We reserve the right to modify the Service or these Terms at any time. For material changes, we will provide at least 14 days' notice via email or an in-app notification. Your continued use of the Service after any modification constitutes your acceptance of the updated Terms.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the jurisdiction in which Groful is incorporated, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the competent courts of Groful's jurisdiction of incorporation.

17. General Provisions

Entire Agreement. These Terms, together with the Privacy Policy and any order forms or plan confirmations, constitute the entire agreement between you and Groful regarding the Service and supersede all prior agreements. Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Waiver. Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future. Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. Groful may assign its rights freely. Contact.
